1. Company information and what these terms cover
Jics is a fleet tracking and logistics platform. It is made up of the website at jicsmotion.com, the web dashboard, the Jics mobile app (used by drivers and field staff as the operator app, and by a Customer's managers to monitor their fleet and respond to alerts), tracking and delivery-confirmation links sent to recipients, and the tracker devices and integrations that feed them (together, the "Service").
Which Jics company you contract with
The Service is provided by one of two companies. Which one a Customer contracts with, and is billed by, depends on the country of operation chosen for the Customer's account. In these Terms, "Jics", "we", "us" and "our" mean that company; for Users and Recipients, they mean the company that the Customer whose account or link they use contracts with.
- Plaman Engineering Limited Company serves Customers whose account's country of operation is any country other than Nigeria. It is a limited liability company formed in the State of Wyoming, United States (Wyoming filing ID 2026-002096141). Registered office: 30 N Gould St Ste R, Sheridan, WY 82801, USA. Operating office: B212 NNPC Housing Complex, Ekpan, Warri, Delta State, Nigeria. It sells the Service under licence from Plaman Engineering Limited, which develops and runs the platform on its behalf.
- Plaman Engineering Limited serves Customers whose account's country of operation is Nigeria. It is a company registered in the Federal Republic of Nigeria (RC 7477414). Registered office: B212 NNPC Housing Complex, Ekpan, Warri, Delta State, Nigeria.
Both companies can be reached at hello@jicsmotion.com.
Who these terms apply to
These Terms and Conditions (the "Terms") apply to everyone who uses the Service:
- Customers — the company or organisation that opens an account, chooses a plan and pays for the Service.
- Users — the people a Customer allows to use the Service under its account, such as administrators, fleet managers, security managers and operators (drivers).
- Recipients — people who open a tracking or delivery-confirmation link that a Customer has shared with them.
By creating an account, accepting an order, signing in, installing the operator app or opening a tracking link, you agree to these Terms. If you are accepting on behalf of a company, you confirm that you are authorised to bind it. If you do not agree, do not use the Service.
Where a Customer has signed a separate written agreement with us, that agreement takes priority over these Terms if the two conflict.
2. Definitions
- Customer Data means everything a Customer and its Users put into the Service or that the Service records for them: vehicle and driver details, positions and movement history, trips, deliveries, photos, signatures, alerts, customers and contacts.
- Operator means a driver or field worker who uses the operator app under a Customer's account.
- Plan means the subscription package, fleet size and billing period chosen by the Customer on the pricing page, in an order form or in writing with us.
- Tracker means a hardware GPS device, a phone running the operator app, or any other approved device that reports a vehicle's position to the Service.
- Privacy Notice means our privacy notice published at jicsmotion.com/privacy, and Acceptable Use Policy means the policy published at jicsmotion.com/acceptable-use. Both form part of these Terms.
3. Accounts, roles and security
The Customer must give accurate company and contact details and keep them up to date. Each User must be at least 18 years old and must use their own login. Passwords, PINs and QR sign-in codes must be kept private and must not be shared. An Operator's account is paired to one phone at a time; a manager can release the pairing from the dashboard when the Operator changes phone.
The Customer decides which of its Users get which role and is responsible for everything done under its account, whether or not it authorised the action. Tell us straight away at hello@jicsmotion.com if you believe an account has been used without permission.
Each Customer's data is kept separate from every other Customer's. Users must not try to view, change or interfere with data that belongs to another Customer.
4. Location tracking and the operator app
The Service records where vehicles are and how they move. When a Tracker is active it reports position, speed, direction, ignition state, fuel level, battery and similar readings whether or not a trip has been allocated, so that the Customer has a complete record of what each vehicle and Operator is doing. The operator app may keep running in the background, show a persistent notification and use mobile data and battery to do this.
Depending on the equipment the Customer chooses, the Service may also record: video from a dash camera facing the road and, where fitted, the cabin, together with driving events the camera detects; sound from an Operator's phone while a panic alert is active; the identity tag an Operator carries so that trips are matched to the right person; and a driving score built from speed, braking, cornering and similar events. Where a dash camera has a microphone and speaker, the Customer's managers can also open a live two-way voice call with the vehicle's cabin: while the call is open they hear what is said in the cabin and can speak through the camera. These calls are passed through live and are not recorded by us. The Customer's managers can also watch a dash camera's picture live, and the dashboard's control room shows a still road photo from each switched-on vehicle every couple of minutes while it is open; we do not keep the live picture or these photos.
A panic alert is raised by the Operator and can be cancelled by the Operator with their cancel PIN or closed by a manager. An Operator may also set a separate duress PIN: entering it makes the app look cancelled while location and sound continue to be sent to the Customer's managers until a manager closes the alert. Operators are told this when they set the PIN.
Because this involves information about people, the Customer must:
- have a lawful basis for tracking its Operators and vehicles, and comply with every data protection, privacy, employment and surveillance law that applies where its vehicles operate and its people work — for example, in Europe, the EU General Data Protection Regulation and the UK General Data Protection Regulation (the "GDPR"), including any duty to consult employee representatives such as a works council and to carry out a data protection impact assessment before tracking begins; in the United States, federal and state laws on the electronic monitoring of employees, vehicle tracking devices and the recording of conversations; and in Nigeria, the Nigeria Data Protection Act 2023;
- clearly inform every Operator, in writing and before tracking begins, that the vehicle and the operator app record location, movement and, where fitted, video, sound and driving events, and that managers can watch the cameras live; when this happens; and why;
- put a visible notice in any vehicle whose cabin is recorded or can be called through a camera, so that passengers and other people are informed, and obtain consent where the law requires it — in some places, including several US states, everyone whose voice may be recorded or listened to must agree before sound is recorded or a call is opened;
- never use the Service to track a person secretly, to track a vehicle it does not own or control, or to track anyone outside a legitimate work purpose.
Operators must not disable, remove, tamper with or interfere with a Tracker, a camera or the operator app while they are responsible for a vehicle, except as the Customer allows. The Customer is responsible for how its Operators use the app.
Position data depends on GPS satellites, mobile networks, the phone or device in use and the settings chosen by the Operator. It can be delayed, inaccurate or missing. Positions, camera events and driving scores are aids to management, not proof: they must not be relied on as the only evidence in any decision that affects a person's safety, employment or liberty, and the Customer must give the person concerned a chance to respond before acting on them.
5. Maps and map providers
The maps, satellite views, place searches, addresses and routes shown in the dashboard, the operator app and tracking links may be provided through Google Maps Platform. By using these features, the Customer, its Users and Recipients agree to be bound by the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy. When a map loads, Google may collect and process information about the device and its location, as described in the Google Privacy Policy.
We may instead, or as well, provide maps built from OpenStreetMap data (© OpenStreetMap contributors, licensed under the Open Database License; see openstreetmap.org/copyright) and other open data. These maps carry an attribution line naming their sources, and the Customer and its Users must not hide, remove or alter it.
Map content comes from third parties and may be incomplete, out of date or inaccurate. Routes, distances and addresses shown on a map are estimates and should not be relied on as the only guide to conditions on the road.
6. Tracker devices
Hardware Trackers may be bought from us, from a third party or supplied by the Customer. Unless we say otherwise in writing, the Customer owns and is responsible for its Trackers, their installation by suitably skilled people, their SIM cards and data charges, and their physical condition.
We support the types of device we approve and connect them to the Service on the Customer's behalf. We are not responsible for faults in the hardware itself, for the coverage or performance of mobile networks, or for Trackers that have been modified, damaged or installed incorrectly. Any manufacturer's warranty is passed on to the Customer where we are able to do so.
Remote engine control
Some Trackers let an authorised User cut or restore a vehicle's engine circuit from the dashboard. This feature is provided at the Customer's request and used entirely at its own risk. The Customer must use it only where the law allows, only when it is satisfied that the vehicle is stationary and that nobody will be endangered, and only through Users it has trained and authorised. The Customer must tell its Operators that the feature exists. We are not liable for any loss, damage, injury or claim that results from cutting or restoring a vehicle's engine, from a command that is delayed, not delivered or not carried out by the device, or from a Tracker that was installed or wired incorrectly.
7. Tracking links and delivery confirmation
Customers may share tracking links and delivery-confirmation links with their own customers and contacts. Anyone who has the link can see what it shows, so the Customer must share links only with the people who should see them and must not share links in bulk or with the public.
When a Recipient confirms a delivery, the Service records the confirmation together with any photo, signature, location and time supplied, and keeps them as evidence for the Customer. The confirmation page says what is being captured before the Recipient confirms. Recipients do not need an account. By using a link, a Recipient agrees to sections 7, 10, 14, 15 and 19 of these Terms and to the Privacy Notice.
Links stop working when the trip or delivery they relate to is completed, cancelled or expires.
8. Customer Data and privacy
Customer Data belongs to the Customer. The Customer gives us permission to store, copy, process and transmit it only as needed to provide, secure and improve the Service and to comply with the law. We act on the Customer's instructions as its data processor (a "service provider" or "processor" under US state privacy laws); the Customer is the data controller for the personal information of its Users and Recipients. We do not sell Customer Data and do not use or share it for advertising.
We protect Customer Data with industry-standard measures, keep each Customer's data separate, and describe what we collect, why, who helps us process it and where it is held in the Privacy Notice. Customer Data is stored with hosting providers in the European Union, passes through servers in the United States and can be accessed by our support team in Nigeria, and the emails the Service sends go through an email provider in the European Union; the Privacy Notice lists them.
Our Data Processing Addendum at jicsmotion.com/data-processing forms part of these Terms and applies whenever we process personal data for a Customer. It contains the terms required by Article 28 of the GDPR, by the California Consumer Privacy Act and similar US state laws, and by the Nigeria Data Protection Act 2023, and it includes the European Commission's Standard Contractual Clauses for data that leaves the European Economic Area, the United Kingdom or Switzerland. It applies without the need for a signature.
We may use information about how the Service is used, in a form that does not identify any Customer or person, to run and improve the Service.
The Customer can export its Customer Data at any time during the subscription and for 30 days after it ends, using the exports offered in the dashboard or by asking us for a complete copy. After that period we delete it, apart from copies in backups, which are overwritten within a further 14 days, and anything the law requires us to keep longer.
9. Plans, fees and payment
Fees are set by the Plan chosen by the Customer. They are shown in US dollars, or in Nigerian Naira for Customers whose account's country of operation is Nigeria, unless we state otherwise. Fees are payable in advance for each billing period through the payment methods offered in the dashboard (including card payments processed by Stripe, or by Paystack or Flutterwave for Customers whose account's country of operation is Nigeria) or by bank transfer where we agree to it. Card details are entered on the payment processor's own pages and are held by the processor under its terms; we never see or store full card numbers.
Subscriptions renew automatically at the end of each billing period unless the Customer cancels before the renewal date from the billing page or in writing. Fees do not include VAT, sales tax, goods and services tax or other taxes, which are added where they apply; where the law makes the Customer responsible for accounting for a tax itself (for example under a reverse charge), the Customer must do so. Fees already paid are not refundable, except as set out in our Refund and Cancellation Policy, where the law requires a refund, or where we have agreed to one in writing.
If a payment fails or is overdue we will remind the Customer. If it remains unpaid, we may limit the dashboard to billing and account pages and, after further notice, suspend the account until payment is made. Vehicle positions continue to be recorded during a limitation so that no history is lost, but we may stop recording if the account stays unpaid for an extended period.
We may change our prices. Changes take effect from the Customer's next renewal after at least 30 days' notice. Free trials, discounts and promotions are subject to any additional conditions we state when we offer them.
10. Acceptable use
The Customer and its Users must use the Service lawfully and in line with the Acceptable Use Policy. In particular, nobody may:
- use the Service to harass, stalk or unlawfully monitor any person;
- upload material that is unlawful, infringing, offensive or harmful, or that contains malicious code;
- probe, scan, overload or disrupt the Service, or try to get around its security or the limits of a Plan;
- copy, resell, rent or offer the Service to others outside the Customer's own organisation without our written agreement;
- reverse engineer the Service or the operator app, except where the law allows this despite these Terms;
- use the Service to send unsolicited messages.
11. Availability, support and changes to the Service
We aim to keep the dashboard, operator app and tracking links available at all times, but we cannot promise that the Service will be uninterrupted or free of errors. Planned maintenance is carried out, where possible, outside normal business hours and announced in advance. The Service depends on things outside our control, including mobile networks, GPS, map providers, payment processors, app stores and hosting providers.
Support is provided by email at hello@jicsmotion.com and through any support channels shown in the dashboard. We may add, change or remove features over time. We will not remove a core feature that a Customer has paid for during a paid term without reasonable notice.
The mobile app is distributed as an installable package that we provide to Customers and, where available, through the Google Play Store or the Apple App Store, whose terms also apply when the app is obtained there. Apple and Google are not responsible for the app or for supporting it.
12. Intellectual property
The Service, the Jics name and logo, the software, designs, documentation and everything else we provide are owned by Plaman Engineering Limited or its licensors and are protected by copyright, trade mark and other laws. We give the Customer a limited, non-exclusive, non-transferable right to use the Service during the subscription for its own internal business purposes.
If you send us suggestions or feedback, we may use them without any obligation to you.
13. Confidentiality
Each party will keep the other's confidential information private, use it only for the purposes of these Terms and protect it with at least the care it uses for its own confidential information. This does not apply to information that is public, already known, independently developed or that must be disclosed by law, in which case the party disclosing it will, where permitted, give the other notice first.
14. Warranties and disclaimers
We warrant that the Service will perform materially as described in our documentation and that we will provide it with reasonable skill and care. Apart from this, and to the fullest extent the law allows, the Service is provided "as is" and "as available", and we make no other promises, express or implied, including about merchantability, satisfactory quality, fitness for a particular purpose, non-infringement or uninterrupted availability.
The Service, including panic alerts, geo-fence alerts and off-trip alerts, is a management tool. It is not a safety, security or emergency service and must not be relied on as one. In an emergency, contact the relevant emergency services directly.
15. Limitation of liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct, or for anything else that cannot be limited or excluded by law.
Subject to that, neither party is liable to the other for any indirect or consequential loss, loss of profit, revenue, business, goodwill or data, or for losses arising from theft, accident, delay or damage involving a vehicle, its contents or its occupants, even if such losses were foreseeable.
Subject to that, our total liability to a Customer for everything arising under or in connection with these Terms in any twelve-month period will not exceed the fees that Customer paid us for the Service in that period.
16. Indemnity
The Customer will compensate us for any claims, losses and costs (including reasonable legal fees) arising from its Customer Data, from its or its Users' use of the Service in breach of these Terms or the law, from its failure to inform or obtain the necessary consent from the people it tracks, records or scores, or from its use of remote engine control.
We will defend the Customer against any third-party claim that the Service, as provided by us, infringes that third party's intellectual property rights, and will pay any damages finally awarded, provided the Customer tells us promptly and lets us control the defence.
17. Suspension and ending the agreement
The Customer may end its subscription at any time with effect from the end of the current billing period. We may suspend or end access immediately if the Customer or a User seriously or repeatedly breaches these Terms, if fees remain unpaid after notice, if the account creates a security or legal risk, or if we are required to by law. Where reasonable, we will give notice and a chance to put things right before suspending.
When the subscription ends, access to the dashboard and operator app stops, tracking links stop working, and the Customer may export or request its Customer Data for 30 days as described in section 8. Sections that by their nature should continue, including sections 8, 12 to 16 and 19, remain in force.
18. Changes to these Terms
We may update these Terms from time to time, for example when we add features or when the law changes. We will publish the updated Terms at jicsmotion.com/terms with a new "last updated" date, and for material changes we will give Customers at least 30 days' notice by email or in the dashboard. Continued use of the Service after the change takes effect means you accept the updated Terms. If you do not accept them, you may end your subscription before they take effect.
19. Governing law and disputes
These Terms are governed by:
- for Customers that contract with Plaman Engineering Limited (customers whose account's country of operation is Nigeria), the laws of the Federal Republic of Nigeria;
- for Customers that contract with Plaman Engineering Limited Company (all other customers), the laws of the State of Wyoming, United States, without regard to its rules on conflict of laws.
Users and Recipients follow the same rules in this section as the Customer whose account or link they use.
If a dispute arises, the parties will first try in good faith to resolve it by discussion between senior representatives within 30 days of one party notifying the other in writing. If that fails:
- for Customers that contract with Plaman Engineering Limited (customers whose account's country of operation is Nigeria), the dispute will be finally settled by arbitration under the Arbitration and Mediation Act 2023 before a single arbitrator, seated in Lagos, Nigeria, and conducted in English;
- for Customers that contract with Plaman Engineering Limited Company (all other customers), the dispute will be settled by the state or federal courts located in the State of Wyoming, United States, which will have exclusive jurisdiction, except where the Standard Contractual Clauses in our Data Processing Addendum say otherwise.
Either party may still seek urgent protective relief, such as an injunction, from a court with jurisdiction.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Nothing in this section removes any rights a consumer has under applicable consumer protection law. If you use the Service as a consumer rather than for business, and you live in the European Union, the United Kingdom or another country whose law gives consumers rights that a contract cannot take away, those rights still apply and you may also bring a claim in the courts of the place where you live.
20. International use, sanctions and export control
The Service is available in many countries. The Customer is responsible for making sure that its use of the Service, its Trackers and cameras, and the way it informs and records its Operators and other people comply with the laws of every country, state and region in which its vehicles operate or its people work, including laws on tracking devices, dash cameras, radio equipment and recording.
The Service and the operator app may be subject to export-control and sanctions laws, including those of the United States, the United Kingdom, the European Union, the United Nations and Nigeria. The Customer must not use the Service, or allow anyone to use it, in a country or region under a comprehensive embargo, by or for a person named on a government sanctions or restricted-party list, or for any purpose those laws prohibit. By using the Service, the Customer confirms that neither it nor any of its Users is such a person. We may suspend access where we reasonably believe that continuing would break these laws.
21. General
- These Terms, the Privacy Notice, the Acceptable Use Policy, the Data Processing Addendum, the Refund and Cancellation Policy and any order form make up the whole agreement between the Customer and us about the Service.
- Neither party is responsible for failing to perform because of events outside its reasonable control, such as network outages, strikes, natural disasters or government action, except that this does not excuse payment of fees due.
- The Customer may not transfer these Terms without our written consent. We may transfer them to a successor of our business on notice.
- Notices to us must be sent to hello@jicsmotion.com. Notices to the Customer may be sent to the email address on its account or shown in the dashboard.
- If any part of these Terms is found to be unenforceable, the rest continues to apply. A delay in enforcing a right is not a waiver of it.
- Nothing in these Terms creates a partnership, agency or employment relationship between the parties.
22. Contact us
Questions about these Terms can be sent to hello@jicsmotion.com. Letters can be sent to the registered office of the Jics company you contract with, shown under Company information in section 1.
